Picture this打个比方 Your group registers its trademark under an offshore holding company - it just holds the paperwork, has no employees, and does nothing else. Meanwhile, your Malaysian company does all the actual work: designing the product, building the brand, running marketing campaigns, and defending the trademark when someone infringes it. Every year, Malaysia pays the offshore company a royalty for "using" the trademark it legally owns.你的集团把商标注册在一间离岸控股公司名下 - 它只是持有文件,没有员工,也没做其他事情。真正干活的是你大马的公司:设计产品、打造品牌、做营销活动,商标被侵权时也是它出面维权。每年,大马公司都要付一笔权利金给那间离岸公司,因为「使用」了它名下的商标。

On paper, the offshore company "owns" the trademark. But IRB doesn’t stop at paperwork.账面上,离岸公司「拥有」商标。但 IRB 不会只看文件。

IRB looks at DEMPEDEMPE - who actually develops, enhances, maintains, protects, and exploits the intangible. Legal ownership is just a starting point; if the "owner" is a shell with no people and no functions, and another group company is doing all five of those things, the profit is expected to follow the company doing the work - not the company holding the certificate.IRB 看的是 DEMPEDEMPE - 也就是谁真正在开发提升维护保护变现这个无形资产。法律上的所有权只是起点;如果「拥有者」只是个没有人员、没有功能的空壳,而另一间集团公司包办了以上五件事,利润理论上应该跟着做事的那一方走,而不是拿证书的那一方。

The 37.5–62.5 percentile arm’s-length range独立交易区间:37.5–62.5 百分位

"Fair price" doesn't mean one exact number - it means falling inside a statistical band built from comparable companies. Malaysia's rule is more specific than the "interquartile range" many other countries use: the arm’s length range独立交易区间 is defined as the values sitting between the 37.5th and 62.5th percentile of your comparable companies' data set.「公道价格」不是指某一个精确数字,而是要落在一批可比公司数据算出来的统计区间里。大马的规则比很多国家用的「四分位距」更窄更具体:Arm’s Length Range独立交易区间的定义,是从可比公司的数据组里,取第 37.5 到第 62.5 百分位之间的数值。

Land inside the green-dark band and your pricing is generally accepted; fall outside it and IRB can adjust you to the median.落在深色区间里,价格通常会被接受;落在区间外,IRB 可以把你调整到中位数。

Picture this打个比方 Your benchmarking study finds 8 comparable companies with profit margins ranging from 2% to 12%. The 37.5–62.5 percentile band works out to, say, 4.5%–6.8%. If your company's actual margin is 5.5%, you're inside the accepted range - no adjustment needed. If it's 2.8%, you're below the range, and IRB can adjust your profit up to the median of that band (roughly the mid-point between 4.5% and 6.8%) - meaning more taxable profit gets attributed to Malaysia.你的市场比较研究找到 8 间可比公司,利润率介于 2% 到 12% 之间。37.5–62.5 百分位算出来假设是 4.5%–6.8%。如果你公司实际的利润率是 5.5%,就落在被接受的区间内,不需要调整。如果只有 2.8%,就低于区间,IRB 可以把你的利润调整到这个区间的中位数(大概是 4.5% 跟 6.8% 的中间值),也就是要在大马多算一些应课税利润。
